SPINE EVALUATION LICENCE

Spine is proprietary software. It is NOT open source and NOT source-available
for any purpose beyond the evaluation described below. Access to the source, by any
means, grants no rights except those stated here.
1. DEFINITIONS
"Licensor" means Portll.
"Software" means spine, including its source, documentation and build outputs,
EXCEPT the Excluded Components identified in section 6.
"You" means the person or entity exercising the rights granted below.
"Evaluate" means to install, run, read and assess the Software for the sole purpose
of forming a view about it.
2. GRANT
Subject to every condition in this licence, the Licensor grants You a personal,
non-exclusive, non-transferable, non-sublicensable, royalty-free and REVOCABLE
licence to Evaluate the Software on hardware You control.
That is the entire grant. No other right is granted, by implication, estoppel,
exhaustion or otherwise.
3. CONDITIONS AND PROHIBITIONS
You may NOT, in whole or in part:
(a) use the Software commercially, or in or for any activity intended for or
directed toward commercial advantage or monetary compensation, whether by You
or on behalf of another;
(b) modify, adapt, alter, translate, port, patch, fork or otherwise change the
Software;
(c) create, or contribute to the creation of, any derivative work of the Software,
or any work based on, adapted from, or substantially derived from it — including
a reimplementation produced by reference to it;
(d) distribute, publish, disclose, sublicense, sell, rent, lease, lend, host, or
otherwise make the Software available to any third party, whether or not for a
fee, and whether or not modified;
(e) use the Software to provide a service to any third party;
(f) use the Software, or knowledge of it, to design, build, train or improve a
competing or substantially similar product or system;
(g) decompile, disassemble or reverse engineer any build output, except and only to
the extent this prohibition is unenforceable under applicable law;
(h) remove, obscure or alter any copyright, licence, attribution or notice.
Nothing in this section restricts a right You hold under law that cannot be waived
by agreement.
4. RESERVATION OF RIGHTS
The Licensor retains all right, title and interest in the Software, including all
intellectual property rights. This licence transfers no ownership. Any right not
expressly granted in section 2 is reserved.
This licence binds You. It does not bind the Licensor, who remains free to license,
distribute, commercialise or relicense the Software on any terms.
5. FEEDBACK
If You send the Licensor feedback about the Software, the Licensor may use it
without restriction or obligation. You are under no duty to send any.
6. EXCLUDED COMPONENTS — READ THIS BEFORE ASSUMING THIS LICENCE COVERS A FILE
This licence does NOT apply to third-party or separately-licensed components
distributed with the Software. Those are governed by their own licences, which sit
alongside them, and which may grant You MORE rights than this licence does —
including rights this licence otherwise prohibits, such as modification and
redistribution.
Where a directory contains its own LICENSE or NOTICE file, that file governs that
directory and everything beneath it, and this licence does not reach it.
The Licensor cannot and does not purport to restrict any right granted to You by
the licence of an Excluded Component. Where this licence and such a licence conflict
as to that component, the component's own licence prevails.

7. TERM AND TERMINATION
This licence takes effect when You first access the Software and continues until
terminated.
It terminates automatically and immediately if You breach any condition in
section 3. The Licensor may also revoke it at any time, for any reason, on notice.
On termination You must stop using the Software and destroy every copy in Your
possession or control. Sections 3(c), 3(f), 4, 5, 8 and 9 survive termination.
8. NO WARRANTY
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED,
INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. THE SOFTWARE IS UNRELEASED,
INCOMPLETE AND UNSUPPORTED. NO OBLIGATION TO PROVIDE UPDATES, FIXES OR SUPPORT
ARISES FROM THIS LICENCE.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE
FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN CONTRACT, TORT OR OTHERWISE,
ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR ITS USE.
Nothing in this licence excludes, restricts or modifies any consumer guarantee,
right or remedy under the Australian Consumer Law (Schedule 2 to the Competition
and Consumer Act 2010 (Cth)) that cannot lawfully be excluded, restricted or
modified.
10. GENERAL
This licence is governed by the laws of South Australia, Australia, and You submit
to the non-exclusive jurisdiction of its courts.
If any provision is held unenforceable, it is severed and the rest continues in
force.
This is the entire agreement between You and the Licensor about the Software, and
supersedes any prior understanding about it.
For any use beyond evaluation — commercial use, modification, derivative works or
redistribution — you need a separate written licence.
